A substantial part of the firm's practice involves assisting clients in commercial transactions relating broadly to the acquisition and sale of communications properties. We advise clients on the array of issues affecting the structure of such transactions, negotiate and draft documents, and prepare the required FCC applications. The areas encompassed by our services include license assignments and transfers of corporate control, mergers, bankruptcies and receiverships, mezzanine and long-term financing, private debt and equity offerings, and related matters. We assist in directing legal and procedural audits and conducting due diligence in preparation for institutional financing. We also help clients identify, evaluate and negotiate with potential strategic and financial partners, and frame capital financing packages. In addition, the firm represents clients in commercial transactions with state and federal agencies. For example, we help companies identify and apply for federal funding set aside to promote technology deployments to serve rural or underdeveloped areas, and for telemedicine, distance learning and other public/private sector initiatives. |
